RightMark CPU Clock Utility End-User License Agreement

Parties to agreement

This end-user license agreement ("EULA") is a legal agreement between the person using this program ("YOU" or "USER") and NGO "Science center Rightmark" ("OWNER"), the developer of the RightMark CPU Clock Utility (RMClock) program ("SOFTWARE").

By installing and/or using the Software, you are agreeing to become bound by the terms of this Agreement. If you do not agree to be bound by these terms then do not install and/or use the Software.

Subject of agreement

You are granted a limited non-exclusive right to use the Software under conditions and with limitations, laid down in this Agreement.

Software

This agreement is concluded with respect to the RightMark CPU Clock Utility (RMClock) software intended for monitoring the operating parameters of the computer central processing units and managing certain computer power management features. The term "Software" in this agreement refers to the program itself and/or any additional files required for normal operation of the software and belonging to the Owner.

The Software is provided in freeware and payware versions. The freeware version provides basic features. Additional features are provided in the payware version. The freeware version may be converted into payware by entering the registration key.

The registration key can be purchased from Owner's partners or in specialized stores which have entered into formal agreement with the Owner.

The registration key is issued to only a single User and is valid for only a single copy of the Software.

Software property rights

The property rights for the Software, including all its additional modules, solely belong to the Owner, NGO "Science center Rightmark"

The User is granted only the rights directly stated in this agreement with all conditions and limitations provided for in this agreement. Any rights which are not directly stated in this agreement are reserved by NGO "Science center Rightmark".

Warranty and support

The software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. In no event shall the authors or copyright holders be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the software or the use or other dealings in the software.

The Owner does not guarantee Software workability in User environments and its compatibility with User equipment.

The Owner makes reasonable efforts to ensure Software compatibility with the widest range of computer hardware possible as well as compatibility with various software.

The Owner makes reasonable efforts to fix any known bugs that affect the Software functionality.

The Owner and the User hereby agree that the User is aware that the Software may cause malfunction in any other software which may result in loss of data. The User considers that the use of the Software and some of its features may result in software or hardware malfunctions and, specifically, loss of any User data and will make all efforts to avoid this.

The Owner cannot be held liable for any losses, that user incurred using the software, including any compensation for data loss, loss of time, any losses resulting from software and hardware malfunction.

Usage of freeware version

Any person may use, copy and distribute the limited freeware version of the Software under condition that it is not modified in any way.

The Owner grants the User the following rights regarding the freeware version of the Software in accordance with the copyright and associated rights legislation in force of Russian Federation:

The User may not gain any commercial benefits under the granted rights.

The User may not modify the Software, tamper or otherwise interfere with its normal functioning, disassemble the Software or any part of it, or perform any other actions that may result in breaking any copyright and associated rights.

Usage of payware version

The payware version has the same functions as the freeware version of the Software with additional functionality enabled by entering the registration key.

The Owner grants the User the following rights regarding the payware version of the Software in accordance with the copyright and associated rights legislation in force of Russian Federation:

The User may not enter valid registration key into more than one copy of the Software. The User may enter the registration key into another copy of the Software only if the previous registered copy has been uninstalled.

The User may not modify the Software, tamper or otherwise interfere with its normal functioning, disassemble the Software or any part of it, or perform any other actions that may result in breaking any copyright and associated rights.

The User may not pass the registration key to any third party or use it with more than one copy of the Software.

The Owner can unilaterally revoke the User's registration key in case there are reasons to suspect that that key has been passed to a third party. In case the User proves that the key has been passed to a third party against the User's will, the Owner may at its discretion generate a new registration key for that User.

Duration of agreement

This agreement comes into force when the Software is installed on User's computer and is terminated when the Software is removed from User's computer. The agreement may also be terminated on other grounds.

In case this agreement is terminated, the User must stop using and remove the Software from User's computer.
